Subscription or Service Agreement

This Service Agreement applies when HQDIRECTOR CORP accepts a customer order for a Director service. The order identifies the customer, authorized service, subscription term, and fees. The customer may permit its authorized users to use the service for its internal business purposes, subject to this agreement.

Term, trial, and renewal

Each subscription has a one-year commitment and may be paid monthly or annually as stated in the order. Before enrollment in an offered 30-day trial, the customer must be shown the conversion date, selected plan, billing frequency, amount to be charged, and renewal terms and must affirmatively consent. Advance reminders must be sent before the trial ends. Trial cancellation is free. A trial does not automatically convert to paid service: MyHQDirector must capture the payment method and affirmative consent before Stripe may begin billing.

Paid subscriptions renew for successive annual terms unless canceled before the renewal date through the applicable account or billing process. Cancellation stops a future renewal; committed fees remain due through the then-current term unless an order says otherwise.

Customer responsibilities

The customer must provide accurate account and billing information, protect credentials, manage user authorization, use the service under the AUP, and ensure it has the rights and notices needed for customer data it supplies. The customer is responsible for its users' acts and omissions. MyHQDirector access is limited to users the customer authorizes; it does not grant access to another customer's environment.

Data and confidentiality

Each party will use the other's confidential information only to perform or receive the services and protect it using reasonable care. Customer data remains the customer's data. We process customer data to provide, secure, support, and administer the service, subject to this agreement and any applicable DPA. These obligations do not apply to information independently developed, lawfully received without a duty of confidence, publicly available without breach, or required to be disclosed by law after notice where permitted.

Suspension and precedence

We may suspend access for a security risk, AUP violation, legal requirement, or overdue amount. Billing and recovery access may remain available during a payment suspension. Either party may terminate for an uncured material breach after notice and a reasonable opportunity to cure when cure is possible; we may act sooner when law or an urgent security risk requires it. Termination does not itself delete customer data or cancel payment obligations already incurred. An order controls over this agreement for the service, term, or fees it expressly addresses; a DPA controls for its processing subject matter; and this agreement controls otherwise.
